1. General

These Terms of Use (“Terms”) were last modified on 10 April 2023.

These Terms are a binding agreement between you and AlzForum Foundation Inc. (“Alzforum”). By using or accessing the Alzforum website (the “Site”), you accept and agree to be bound by these Terms. Your use of the Site is governed by the version of the Terms in effect on the date the Site is accessed by you. Alzforum may modify these Terms at any time and without prior notice.

Unless otherwise agreed, Alzforum may discontinue or modify the Site at any time without prior notice to you, and you accept those modifications if you continue to use the Site.

This Site is intended only for your personal, non-commercial use, unless you and Alzforum have agreed otherwise in writing.

These Terms govern your use of the Site as well as any digital products and services or mobile applications that Alzforum may offer from time to time with respect to Alzforum.

2. Content

2.1. Ownership of Content
All text, graphics and other materials on the Site ("Content") are the property of Alzforum, or its licensors, suppliers and other third parties mentioned on the Site (collectively the "Third Party Content Providers"), in each case as indicated by the copyright notice for each Content item. All works of authorship are protected by applicable copyright laws. All trademarks and service marks on the Site belong to Alzforum, except third party trademarks and service marks, which are the property of their respective owners.

The Site includes news and information, tools, commentary, research reports and data concerning Alzheimer’s disease and other subjects. Some content is supplied by Alzforum, some (the “Third Party Content”) is provided by Third Party Content Providers and some is provided by users of the Site (see “User-Generated Content” below).

2.2. User-Generated Content
If you submit any information, idea, concept or invention to the Site you agree that Alzforum may release such submission to others, subject to the Alzforum Privacy Policy, and you automatically grant or warrant that the owner of such content or intellectual property has expressly granted Alzforum a royalty-free, perpetual, irrevocable, world-wide nonexclusive license to store, use, reproduce, create derivative works from, modify, publish, edit, translate, distribute, perform, and display such intellectual property in any media or medium, or any form, format, or forum now known or hereafter developed. Alzforum may sublicense its rights through multiple tiers of sublicenses.

You warrant that your submissions are truthful and provided in good faith; you understand that users are relying on the accuracy and truthfulness of submissions made, and that Alzforum, and the scientific community in general, can be damaged if any of your submissions are false or misleading.

You authorize Alzforum to publish your name, affiliation and/or geographic location in connection with your submission. Once your submission is posted, you acknowledge that you will not have the right to remove or edit it.

Alzforum reserves the right, but is not obligated, to do any or all of the following:

1. Record the dialogue in online forums.
2. Investigate an allegation that a communication(s) do(es) not conform to the terms of this section and determine in its sole discretion to remove or request the removal of the communication(s).
3. Edit or remove communications which fail to conform with these Terms.
4. Terminate a user's access to any or all interactive areas of the Site (or otherwise revoke a user’s privilege to submit content) for any reason, without prior notice.
5. Monitor, edit, or disclose any submission you make to the Site, subject to the Alzforum Privacy Policy.
6. Edit or delete any communication(s) posted on the Site, regardless of whether such communication(s) violates these Terms.

Alzforum reserves the right to edit comments and other text submissions posted to or otherwise submitted to the Site, and also reserves the right not to post or to terminate the posting of comments or other text submissions.

Alzforum and the Third Party Content providers have no liability or responsibility to users of the Site or any other person or entity for performance or non-performance of the aforementioned activities.

Alzforum shall have no liability to protect, store or maintain the annotations that users of the Site may add to the Content on the Site.

2.3. Third Party Content
Although Third Party Content may be displayed on the Site or available through a link to a third-party site, Alzforum has not been involved in the preparation, adoption or editing of Third Party Content. While Alzforum makes every attempt to provide accurate and timely information to serve the needs of users, neither Alzforum nor the Third Party Content Providers guarantee its accuracy, timeliness, completeness or usefulness, and are not responsible or liable for any such content, including any advertising, products, or other materials on or available from third party sites. Alzforum and the Third Party Content Providers specifically disclaim any responsibility for Content available on the Site. The use of the Site and the Content, including Third Party Content, is at your own risk.

3. Use of Site

3.1. Use of the Site
If you use the Site you are solely responsible for your own communications, the consequences of posting those communications, and your reliance on any communications found on the Site. Alzforum and the Third Party Content providers are not responsible for the consequences of any communications provided by you or other third parties on the Site.

3.2. Account and Password
The Site has several tools that allow you to record and store information and require a login. You may not obtain or attempt to obtain unauthorized access to such areas of the Site through any means not intentionally made available by Alzforum for your specific use. You are responsible for all activities that occur in connection with your account and password. It is your sole responsibility to (1) control the dissemination and use of activation codes and passwords; (2) restrict access to and use of your Alzforum account and password; (3) promptly inform Alzforum of any need to deactivate a password; and (4) notify Alzforum immediately if you become aware of any disclosure, loss, theft or unauthorized use of your password.

3.3. Prohibited Uses
Alzforum reserves the right to limit a user’s access to the Site if a user is deemed to violate any of the conditions stated in this Terms of Use.

You shall not

(1) use the Site for any illegal purpose
(2) distribute any viruses or other harmful computer code to any Alzforum server, or any network connected to any Alzforum server
(3) use the Site in any manner that could damage or overburden any Alzforum server, or any network connected to any Alzforum server
(4) access the Site through devices or services that are designed to provide high-speed, automated, repeated access, unless such devices are approved or made available by Alzforum
(5) engage in any other conduct that restricts or inhibits, any other person from using or enjoying the Site, or,
(6) engage in any other conduct which, in the judgment of Alzforum, exposes Alzforum or any of its site users or content providers to any liability or detriment of any type.

You may not copy, distribute, modify, post or frame-in the Site, including any text, graphics, video, audio, software code, user interface design or logos, without prior written permission from Alzforum or the copyright owner. You may not alter or remove any trademark, copyright or other notice from the Content.

If you make submissions to the Site, you agree that you will not (1) send or transmit to the Site any communications, content or submissions of any kind that infringe or violate the intellectual property, privacy, publicity or other rights of any party or that are unlawful, obscene, defamatory, threatening, harassing, abusive, slanderous, hateful, or embarrassing to any other person or entity as determined by Alzforum in its sole discretion, or (2) post personal information of any other person (including, without limitation, Protected Health Information).

3.4. Linking Policy
Unless you and Alzforum have agreed otherwise, links from another website to the Site must resolve to the top-level homepage of the Site. If you place a link on your or another web site to the Site, neither the web site nor the link may suggest that Alzforum endorses, sponsors or is affiliated with any other site, entity, service or product, and you may not make use of any trademarks or service marks of Alzforum other than those contained within the text of the link.

4. Disclaimer of Medical Advice

The Site does not provide medical advice. The Content is for informational, educational, research and reference purposes only and is not intended to substitute for professional medical advice, diagnosis or treatment. Always seek advice from a qualified physician or health care professional about any medical concern, and do not disregard professional medical advice because of anything you may read on the Site. The views of individuals quoted on this Site are not necessarily those of Alzforum.

Neither the Site nor Alzforum endorses any company or product, and listing on the Site is not linked to corporate sponsorship nor does it imply any endorsement by the Site or Alzforum. We do not make a claim to being comprehensive or up-to-date.

5. Disclaimer of Warranties

THE SITE AND ITS CONTENT IS PROVIDED ON AN "AS-IS" BASIS. ALZFORUM AND THE THIRD PARTY CONTENT PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, FUNCTIONALITY OR NON-INFRINGEMENT. ALZFORUM DOES NOT WARRANT THAT THE SITE OR ITS CONTENT WILL MEET YOUR NEEDS OR THAT EITHER WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. ALZFORUM ALSO MAKES NO WARRANTY THAT THE RESULTS OBTAINED FROM THE USE OF THE SITE AND ITS CONTENT WILL BE ACCURATE OR RELIABLE, OR THAT THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE SITE WILL MEET YOUR EXPECTATIONS. ALZFORUM DOES NOT WARRANT THAT THE SITE WILL APPEAR ACCURATELY THROUGH ALL WEB BROWSERS AND ACCESS METHODS.

6. Limitation of Liability

IN NO EVENT WILL ALZFORUM OR THE THIRD PARTY CONTENT PROVIDERS, AND RESPECTIVELY THEIR PARENTS, SUBSIDIARIES, AFFILIATES, SERVICE PROVIDERS, LICENSORS, OFFICERS, DIRECTORS OR EMPLOYEES, BE LIABLE FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, CONSEQUENTIAL, INCIDENTAL, SPECIAL, DIRECT, OR INDIRECT DAMAGES (INCLUDING BUT NOT LIMITED TO LOST PROFITS, TRADING LOSSES OR DAMAGES THAT RESULT FROM USE OR LOSS OF USE OF THE SITE OR THIRD PARTY CONTENT, INCONVENIENCE OR DELAY). THIS IS TRUE EVEN IF ALZFORUM OR THE THIRD PARTY CONTENT PROVIDER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES. ALZFORUM AND THE THIRD PARTY CONTENT PROVIDERS ARE NOT LIABLE FOR ANY PERSONAL INJURY INCLUDING DEATH. ALZFORUM AND THE THIRD PARTY CONTENT PROVIDERS WILL NOT BE LIABLE TO YOU OR ANYONE ELSE FOR ANY LOSS RESULTING FROM A CAUSE OVER WHICH SUCH PARTY DOES NOT HAVE DIRECT CONTROL. IF YOU LIVE IN A STATE THAT DOES NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SOME OR ALL OF THESE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.

7. Indemnification

As a condition of your use of the Site, you agree to indemnify and hold Alzforum harmless from and against any and all claims, losses, liability, costs and expenses (including but not limited to attorneys' fees) arising from your use of the Site, from your violation of these Terms, or from your violation of any law or the rights of a third party.

8. Jurisdiction

Unless otherwise agreed, these terms and their enforcement are governed by the laws of the United States of America and the Commonwealth of Massachusetts, without regard to conflicts of law, and shall inure to the benefit of Alzforum's successors and assigns, whether by merger, consolidation, or otherwise.

9. Severability

If a court of competent jurisdiction deems any provision unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. Exclusive jurisdiction for any claim or cause of action relating to the Site shall be with the state or federal courts located in the Commonwealth of Massachusetts. The Site is controlled and operated from the United States of America. If you access the Site from outside the United States, you are responsible for compliance with all applicable laws, rules and regulations.

10. Complete Agreement

Except as expressly provided in another legal notice on the Site, these Terms of Use constitute the entire agreement between you and Alzforum with respect to the use of the Site.
